K&M Electrical – Terms & Conditions
1. GENERAL
1.1 These Terms and Conditions apply to all products and services provided by K&M Electrical (“the Company”) to the customer (“the Client”) and form the complete agreement unless otherwise agreed in writing.
1.2 Any modification of these Terms must be confirmed in writing by K&M Electrical.
1.3 If any part of these Terms is deemed invalid or unenforceable, the remainder shall remain in full force.
1.4 Company directors or trustees signing on behalf of a Client must warrant that they are authorised to bind the Client to this agreement.
1.5 In case of conflicting documents, these Terms take precedence.
1.6 Clients may not assign their obligations without the written consent of K&M Electrical.
1.7 A delay or indulgence granted by K&M Electrical does not constitute a waiver of rights.
1.8 These Terms are governed by New Zealand law.
1.9 Ordering or accepting goods/services implies full acceptance of these Terms.
2. DEFINITIONS
- Client: The individual or business receiving goods/services.
- Goods: All products supplied by K&M Electrical.
- Services: Any electrical work or associated labour provided.
- Order: A confirmed request by the Client for goods or services.
- PPSA: Personal Property Securities Act 1999.
- Company: K&M Electrical.
3. ACCEPTANCE
3.1 Any instruction from the Client to proceed with goods or services constitutes agreement to these Terms.
4. CLIENT INFORMATION
4.1 By engaging with the Company, the Client authorises the collection and use of personal and business information for credit and account management purposes.
4.2 This information is stored securely, accessed only by authorised personnel, and can be corrected upon request.
5. PRICING & QUOTES
5.1 Unless stated otherwise, prices reflect the rate at the time of delivery.
5.2 Prices exclude GST unless specifically mentioned.
5.3 All quotes are valid for 30 days unless otherwise agreed.
5.4 Price changes due to materials, currency, or other variables are payable by the Client.
5.5 Changes in the scope or volume of work after quotation will be charged accordingly.
5.6 Additional services outside the original quote will incur extra charges.
5.7 K&M Electrical does not accept contract retentions unless agreed in writing.
6. PAYMENT TERMS
6.1 Full payment is due by the 7th day following the invoice unless stated otherwise.
6.2 Progress claims may be issued for ongoing work.
6.3 Deposits may be required before work commences.
6.4 Disputed invoices must be notified immediately, but still paid in full by the due date pending resolution.
6.5 Late payments may incur an admin fee and 2.5% monthly interest.
6.6 All collection costs are recoverable from the Client.
6.7 K&M Electrical may offset any monies owed to the Client.
7. DELIVERY
7.1 Delivery costs are included unless alternative methods/times are requested, which may incur additional charges.
7.2 While K&M Electrical strives for timely delivery, delays do not entitle cancellation or compensation.
7.3 Delivery is complete once goods reach the agreed location or are available for collection.
7.4 Any errors or damage must be reported within 2 days (courier) or 7 days (other methods).
7.5 If the Client fails to accept delivery, additional costs may apply.
8. DEFAULT
8.1 In the event of non-payment or insolvency, K&M Electrical may:
- Treat all outstanding amounts as immediately due.
- Suspend or cancel further supply.
- Repossess unpaid goods.
- Cease credit terms.
8.2 All enforcement costs will be added to the Client’s account.
9. OWNERSHIP & SECURITY
9.1 Title to goods remains with K&M Electrical until full payment is received.
9.2 Risk passes to the Client on delivery.
9.3 K&M Electrical reserves the right to repossess goods in case of default.
9.4 A security interest is granted in all goods under the PPSA.
9.5 Clients waive certain PPSA rights (e.g., to receive verification statements, object to repossession, etc.).
10. CREDIT TERMS
10.1 K&M Electrical may vary or withdraw credit at any time.
10.2 If the Client’s creditworthiness is compromised, the Company may request security or suspend service.
11. LIABILITY
11.1 To the extent allowed by law, all warranties not stated in these Terms are excluded.
11.2 The Consumer Guarantees Act applies unless the goods/services are for business use.
11.3 Liability is limited to:
- Replacement or repair of goods;
- Re-supply of services;
- Or equivalent financial compensation.
11.4 K&M Electrical is not liable for consequential losses or business interruption.
11.5 Any manufacturer’s warranties apply only as provided.
11.6 The Company is not liable for incidental damage such as cracking, chipping, or surface wear during work.
11.7 Events beyond K&M Electrical’s control may affect service delivery and will not be grounds for claims.
